The Nairobi Fashion Hub App (the “App”) is operated by Tinker Digital Limited, a Private Limited Company registered in Kenya under PVT-AAAAAX7, with a registered address in Nairobi, Kenya.

By downloading, accessing, or using the App and its services (the “Services”), you acknowledge and agree to abide by these Terms of Use (the “Terms”). If you do not agree with these Terms, please refrain from using the App. These Terms constitute a legally binding agreement between Tinker Digital Limited (“we,” “us,” or “our”) and you, the user (“you” or “your”). For further clarity on how we manage user data, please review our Privacy Policy, which is incorporated into these Terms by reference.

2.0 Modifications to Terms

We may update or amend these Terms periodically. Any updates will take effect immediately upon posting within the App, and the “Last Updated” date will reflect the changes. Your continued use of the App constitutes your acceptance of any revised Terms. It is your responsibility to periodically review these Terms for changes.

3.0 Description of Services

The App serves as a digital platform that connects individuals and businesses within the fashion industry, including but not limited to:

• Fashion Designers and Brands to showcase their portfolios.
• Models, Makeup Artists, Photographers, and other professionals for collaborations.
• Users to interact with and access fashion-related content, events, and brand activations.

The App merely facilitates engagement between users and does not directly participate in agreements, transactions, or communications between parties. Tinker Digital Limited does not guarantee the accuracy, legality, or authenticity of the content or services provided by users of the App.

4.0 User Account Creation and Obligations

To access specific features, you may need to create an account. By doing so, you agree to:

• Provide true, accurate, and current information during registration.
• Maintain the confidentiality of your login credentials.
• Immediately notify us of unauthorized access or suspected security breaches.
• You are solely responsible for any activity occurring under your account, including any content posted or transactions conducted.

5.0 Representations and Warranties

By using the App, you affirm and guarantee the following:

• You are at least 18 years of age or have obtained parental/guardian consent.
• Your use of the App complies with all applicable local, national, and international laws and regulations.
• You will not post, share, or distribute harmful, fraudulent, or offensive content.
• You take full responsibility for any content you upload or actions performed through your account.

6.0 Payments and Transactions

The App facilitates payments through third-party processors like M-Pesa or other secure payment gateways. Tinker Digital Limited does not process payments directly or store financial information. You are subject to the terms of the respective payment provider during any transaction.

7.0 Fees and Taxes

Tinker Digital Limited may charge commissions or fees for services offered within the App. It is your responsibility to calculate, report, and remit any applicable taxes related to your transactions or income generated through the App.

8.0 Intellectual Property

Users retain ownership rights over the content they upload. However, by uploading content, you grant Tinker Digital Limited a non-exclusive, royalty-free, worldwide license to use, reproduce, and display the content within the App for promotional or operational purposes.

You must not upload content that infringes on the intellectual property rights of others.

9.0 Indemnity

You agree to indemnify and hold harmless Tinker Digital Limited, its employees, directors, and affiliates from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the App.
• Any breach of these Terms.
• Violations of any third-party rights or applicable laws.

10.0 Limitation of Liability

The App and all services are provided “as is” without warranties of any kind, whether express or implied. Tinker Digital Limited shall not be liable for:

• Direct, indirect, incidental, or consequential damages arising from your use of the App.
• Any interruption, errors, or data losses resulting from system failures or unauthorized access.

11.0 Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms will be resolved through arbitration in accordance with the rules of the Kenya Arbitration Act. If arbitration is not applicable, disputes will be handled by the competent courts of Kenya.

12.0 Changes to Services

Tinker Digital Limited reserves the right to modify, suspend, or discontinue any features or services of the App without prior notice or liability to users.

13.0 Termination of Use

Tinker Digital Limited may terminate or suspend your account without notice for any reason, including violation of these Terms. Upon termination, your access to the App will cease, and you must discontinue all use.
